1.Agreement and definitions
These Terms are an agreement between MintLGS and the business or person that accepts them for a store (the Customer). The person who creates or controls the subscription is the Account Owner. Employees and other people the Customer permits to use MintLGS are Authorized Users. People who buy from, sell to, register with, or otherwise interact with the Customer are Store Customers.
By creating a MintLGS account, accepting an updated version, installing the Hardware Connector, or using the service after authorized acceptance, the Customer agrees to these Terms, the Privacy Policy, and any applicable order, plan, or supplemental terms. The Account Owner represents that they are at least 18 and have authority to bind the Customer.
2.The MintLGS service
MintLGS provides software for local game stores, which may include POS, inventory, shared card-catalog tools, products, automated pricing, customer records, store credit, discounts and presales, buylists, events, storefronts, payments, orders, shipping, reporting, accounting workflows, marketplaces, support, custom domains, and optional hardware tools.
Features vary by release status, account, region, provider approval, hardware, and configuration. A feature described in documentation or a preview environment is not guaranteed to be generally available. MintLGS may improve, replace, restrict, or discontinue features and will provide reasonable notice when a material change substantially reduces a paid service.
3.Accounts, staff, and security
The Customer must provide accurate information, maintain individual user accounts, protect credentials, use appropriate roles and permissions, and promptly deactivate access that is no longer authorized. Credentials may not be shared. The Customer is responsible for actions taken by the Account Owner and Authorized Users, including sales, refunds, cash-drawer actions, data imports, billing, provider connections, and inventory synchronization.
MintLGS may require email verification, renewed legal acceptance, stronger authentication, or other security steps before sensitive actions. Notify support promptly about suspected compromise or unauthorized activity.
4.Subscriptions, trials, and complimentary service
Current prices, billing intervals, trial terms, and included features appear during signup or in Billing. Unless stated otherwise, subscriptions are charged in advance and renew automatically for the selected monthly or annual period until canceled. The Customer authorizes MintLGS and its billing provider to charge the selected payment method, including applicable taxes.
Trials and complimentary service are temporary, discretionary, noncash, nontransferable, and may be limited by person, store, or legal entity. Complimentary service does not create permanent free or billing-exempt status. Unless otherwise agreed, a paid subscription is required when free access ends.
Active plan changes may take effect immediately and can create prorated charges or credits through the billing provider. Failed payments can result in notices, a limited grace period, restricted access, or suspension. MintLGS may change subscription prices prospectively with reasonable notice.
5.Cancellation and refunds
The Account Owner may cancel through Billing. Cancellation normally stops renewal and leaves paid access available through the current period. Canceling a subscription does not automatically delete store data, disconnect every third party, or erase historical financial records.
Fees are nonrefundable except where law requires, MintLGS expressly states otherwise, or support approves a correction for a billing error. Provider, marketplace, shipping, hardware, domain, chargeback, tax, and similar third-party costs are the Customer's responsibility.
6.Payment processors and financial accounts
MintLGS may allow the Customer to connect supported payment providers. By connecting one, the Customer authorizes MintLGS to read and perform the activities shown during setup and needed for configured sales, refunds, receipts, terminal use, reconciliation, and support. Availability depends on provider approval, geography, credentials, account standing, devices, and provider rules.
The Customer is responsible for onboarding and identity checks, fees, reserves, payouts, chargebacks, refunds, taxes, account security, reconciliation, and the provider's terms. Provider-controlled forms, SDKs, and terminals tokenize raw card data, but MintLGS still processes order, status, refund, external identifier, receipt, and limited card-description data.
When Stripe provides connected-account payment services, those services are subject to the Stripe Connected Account Agreement, which includes Stripe's services terms. Stripe processes connected-account information under its Privacy Policy.
7.Marketplace connections and automation
When the Customer connects a marketplace and assigns inventory scope, the Customer authorizes MintLGS to import and reconcile orders and, where enabled, create, update, or remove listings and synchronize quantity, price, fulfillment, tracking, cancellations, returns, refunds, fees, and payouts according to the Customer's configuration.
Synchronization is not instantaneous and can be delayed or rejected by a provider. The Customer must monitor exceptions and remains responsible for listings, prices, stock, policies, oversells, fulfillment, remote account standing, and provider terms. Disconnecting stops future MintLGS activity and revokes current access where supported, but generally does not delete remote listings or local historical orders. The Customer must verify remote account and listing state after disconnecting.
If the Customer uses eBay content through MintLGS, the Customer agrees to comply with the applicable eBay Developers Program terms and API License Agreement to the extent required for that use, and eBay is a third-party beneficiary of that commitment. eBay content and personal information may be used only to facilitate permitted eBay activity and may not be repurposed, sold, used for unsolicited communications, or used to train artificial-intelligence systems.
8.The Customer is the store operator
The Customer—not MintLGS—is the seller, buyer, event organizer, employer, and operator of its business. The Customer is responsible for products, product safety, authenticity, ownership, inventory counts, prices, taxes, receipts, customer communications, accessibility, shipping, pickup, refunds, returns, warranties, consumer protection, and compliance with applicable law.
- Buylists: the Customer determines offers, grades condition, verifies identity or ownership when required, detects stolen or counterfeit goods, pays sellers, and keeps required records.
- Store credit: the Customer sets and honors terms for issuance, use, refunds, expiration, transfer, unclaimed property, and tax treatment.
- Events: the Customer is responsible for capacity, safety, minors and waivers, sanctioned-play rules, permits, prizes, tax reporting, cancellations, and refunds.
- Storefronts: the Customer must publish accurate privacy, terms, shipping, and return information and obtain any notices or consents required from Store Customers.
9.Catalog, pricing, inventory, and reports
Shared catalog identifiers, images, metadata, marketplace information, and market-price data can be delayed, incomplete, duplicated, reclassified, unavailable, or wrong. Automated prices are calculations based on available data and Customer settings; they are not appraisals, offers, or guarantees. The Customer must verify the card, printing, condition, price, quantity, and listing before relying on the result.
Inventory, reporting, and accounting features record information supplied by users and connected workflows. They do not guarantee a physical count, availability, valuation, complete books, tax accuracy, generally accepted accounting treatment, or professional advice. The Customer is responsible for reconciliation, filings, payroll, sales tax, and advice from qualified accounting, tax, and legal professionals.
10.Customer Data and privacy responsibilities
The Customer retains its rights in content and operational data it lawfully provides to MintLGS (Customer Data). Customer Data does not include MintLGS software, platform materials, shared catalog data, provider-owned content, or third-party intellectual property. The Customer grants MintLGS a limited right to host, process, transmit, display, back up, and otherwise use Customer Data to provide, secure, support, and improve the service.
The Customer represents that it has the rights, notices, permissions, and lawful basis needed for Customer Data, including customer records, event answers, testimonials, images, custom CSS, CSV files, marketing content, and provider accounts. The Customer must respond to Store Customer privacy requests and must not use MintLGS to send unlawful or unsolicited messages.
The Data Processing Addendum applies when MintLGS processes personal information for the Customer as a processor or service provider.
11.MintLGS rights and service license
Subject to these Terms and payment of applicable fees, MintLGS grants the Customer a limited, non-exclusive, nontransferable, nonsublicensable, revocable right to access and use the service for its internal business operations. MintLGS and its licensors retain all rights in the software, design, documentation, taxonomies, templates, improvements, and platform materials.
The Customer may not resell the service, provide unauthorized service-bureau access, copy or create a competing derivative from protected elements, bypass usage or security controls, scrape at abusive volume, probe without written permission, or reverse engineer except where a nonwaivable law permits it. Feedback may be used by MintLGS without restriction or payment, provided it does not identify confidential Customer Data.
12.Published content, images, and custom domains
The Customer is responsible for the accuracy and legality of content it publishes and must have rights to names, logos, images, testimonials, product descriptions, and domains. Content may not be deceptive, infringing, malicious, unlawful, or harmful. MintLGS may restrict content or disconnect a domain when reasonably necessary for security, provider compliance, or legal risk.
The Customer controls its DNS provider and domain registration. MintLGS does not guarantee DNS propagation, certificate issuance, third-party availability, search indexing, or that cached public content disappears immediately after a change.
13.Hardware and the MintLGS Hardware Connector
Browser hardware access and the optional desktop Connector require compatible devices, drivers, cables, power, operating-system support, and staff authorization. A successful software job does not prove that a receipt physically printed or that a drawer opened or closed. Many drawers cannot report a reliable physical state.
Installing or using the Connector also means accepting the Hardware Connector License and Safety Terms. If those supplemental terms conflict with these Terms about Connector operation, the more specific Connector terms control for that subject.
14.Referral credits and promotions
Referral credits and promotions are subject to the displayed eligibility and qualification rules. Unless stated otherwise, credits have no cash value, are nontransferable, apply only to future MintLGS subscription charges, and may be corrected, withheld, or reversed for refunds, chargebacks, duplicate accounts, self-referrals, error, abuse, or fraud. Permanently billing-exempt accounts may be ineligible. The recipient is responsible for any tax treatment.
MintLGS may change or end a referral or promotional program prospectively, while honoring properly earned credits unless law or fraud prevention permits otherwise.
15.Acceptable use
The Customer and Authorized Users may not use MintLGS for illegal goods or activity, fraud, theft, counterfeit sales, unauthorized cash access, deceptive listings, spam, harassment, privacy violations, malicious code, credential attacks, abusive automation, bypassing provider or platform limits, interference with another tenant, or activity that harms people, providers, or the service.
MintLGS may investigate, preserve evidence, limit a feature, suspend access, or contact a provider or authority when reasonably necessary to address security, nonpayment, legal obligations, abuse, or a material violation.
16.Third-party services
Connected providers operate under their own terms, privacy policies, availability, fees, and decisions. MintLGS is not responsible for provider outages, declines, reserves, account restrictions, marketplace enforcement, shipping loss, API changes, data errors, or fee changes. A provider may remove access or require the Customer to complete additional onboarding at any time.
17.Availability, maintenance, and previews
MintLGS works to provide a reliable service but does not guarantee uninterrupted or error-free operation. Maintenance, security response, provider incidents, internet or power failures, force majeure, and emergency changes can affect availability. Preview, beta, development, and staging features may be incomplete, change without notice, and should not be used for live operations unless MintLGS expressly authorizes that use.
18.Suspension, offboarding, export, and deletion
MintLGS may suspend or terminate access for nonpayment, security or legal risk, provider requirements, abuse, or material breach. Where the service makes it available, an Account Owner may request a password-confirmed store export. Export files and download links are temporary and do not include secrets or every internal or third-party record.
Formal offboarding is separate from subscription cancellation. It may include a notice and export window, provider disconnection, removal of custom-domain services, and deletion of tenant-controlled operational data. MintLGS may retain limited inactive account, billing, referral, offboarding, abuse-prevention, dispute, tax, legal, and security records. Active data can remain in time-limited backups, and third parties retain information under their own obligations.
19.Confidentiality
Each party will use reasonable care to protect the other party's nonpublic business, technical, and security information and will use it only for the relationship. This duty does not cover information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law. MintLGS may disclose confidential information to personnel and providers that need it and are subject to appropriate duties.
20.Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, MINTLGS IS PROVIDED “AS IS” AND “AS AVAILABLE.” MINTLGS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MINTLGS DOES NOT WARRANT THAT THE SERVICE, DATA, AUTOMATION, PROVIDERS, OR HARDWARE WILL BE COMPLETE, ACCURATE, COMPATIBLE, UNINTERRUPTED, OR ERROR FREE.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
21.Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, SALES, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM THESE TERMS OR THE SERVICE.
TO THE FULLEST EXTENT PERMITTED BY LAW, MINTLGS' TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE FEES THE CUSTOMER PAID TO MINTLGS DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY WHERE APPLICABLE LAW DOES NOT ALLOW IT.
22.Indemnity
To the extent permitted by law, the Customer will defend and indemnify MintLGS and its personnel from third-party claims, damages, and reasonable costs arising from Customer Data, products, events, buylists, store operations, Authorized Users, connected-provider activity, or the Customer's violation of law or these Terms. MintLGS will provide reasonable notice and cooperation, and the Customer may not settle a claim in a way that admits fault or imposes an obligation on MintLGS without consent.
23.General terms
These Terms, the Privacy Policy, the Data Processing Addendum, applicable supplemental terms, and an accepted order or plan are the complete agreement about the service. More specific supplemental terms control their subject; an accepted order controls its commercial details. If a provision is unenforceable, the rest remains in effect. A waiver must be written and does not waive later enforcement.
The Customer may not assign these Terms without MintLGS' consent, except with a merger or sale of substantially all relevant assets if the successor accepts them. MintLGS may assign them in connection with a reorganization, financing, merger, or sale. The parties are independent contractors; these Terms do not create employment, partnership, franchise, fiduciary duty, or agency.
Sections that by their nature should survive— including payment, ownership, confidentiality, data retention, disclaimers, liability, indemnity, and general provisions—survive termination. Except for eBay's express beneficiary rights in the marketplace section, these Terms do not create third-party beneficiary rights.
24.Changes and notices
MintLGS may update these Terms as the service, providers, or law changes. The current version and date will be posted. Material changes will receive reasonable account, email, or other notice, and MintLGS may require renewed acceptance. Changes apply prospectively from their effective date.
Operational notices may be delivered to the Account Owner's email or dashboard. Legal questions may be sent to support@mintlgs.com; ordinary product support should use the support ticket system.
